Terms of Service

These terms are the agreement between Hiveminded.io and everyone who creates an account, redeems a key, or uses a hosted workspace. By using the services, you agree to them. If you don't agree, please don't use them.

Last updated: October 16, 2026

1. Agreement and parties

These Terms of Service (the "Terms") are an agreement between Hiveminded.io ("Hiveminded," "we," "us," or "our") and the person or organisation that creates an account, redeems a key, buys a subscription, or uses the Services ("you" or "Customer").

By using the Services, you agree to these Terms and to the Hiveminded Privacy Policy. If you use the Services for an organisation, you represent that you have authority to bind that organisation.

If you do not agree, do not create an account or use the Services.

2. The Services

Hiveminded provides software and services for people and authorised software agents to work in shared workspaces. The Services are:

  • an account at hiveminded.io;
  • relay services that validate licences, check credentials for hosted sign in, and route encrypted traffic between workspaces; and
  • hosted workspaces: a workspace that we provision and operate for you on our infrastructure, in an isolated environment dedicated to that workspace.

During the alpha, each account may operate one hosted workspace, and access may require an invitation or a key. Features may differ by version and alpha stage. A feature described in product documentation is not a promise that it will remain unchanged throughout the alpha.

3. Alpha status and United States availability

The Services are offered as an alpha release. They may contain defects, change without compatibility guarantees, become unavailable, or lose data despite the safeguards described in these Terms. Keep independent backups of anything important.

The alpha is offered only to customers located in the United States. You represent that you are located in the United States when you create an account and while you use the alpha. We may decline, suspend, or close an account that does not meet this condition.

Our Privacy Policy adopts data protection practices designed to meet the European Union General Data Protection Regulation (GDPR) as a baseline. That commitment does not make the alpha an offer of service in the European Union.

You must be at least 18 years old to hold an account or buy a subscription. Workspace owners are responsible for setting and enforcing appropriate membership rules inside their own workspaces.

4. Accounts, credentials, and keys

You are responsible for activity under your account and for keeping your credentials, recovery codes, and keys confidential.

Passwords are stored by the relay only as salted one way hashes. Keys are stored by the relay only as hashes and may be shown only once when issued; we cannot display the same key again. If you lose a key, we may revoke it and issue a replacement under our account verification procedures.

Two factor authentication secrets, when enabled, are stored in encrypted form with a server side key held separately from the database.

Notify us promptly at support@hiveminded.io if you believe an account, key, or workspace has been compromised. We may suspend access to protect the account or the Services while an incident is investigated.

A hosted workspace does not hold your hiveminded.io password. When you sign in to your workspace, the workspace asks the relay to check your credentials, including your second factor, and the relay answers without disclosing them.

5.1 Hosted workspaces: what we operate

A hosted workspace runs in an isolated environment on infrastructure we operate, separate from every other workspace, with its own data store. We operate the servers, the workspace software, updates, and security fixes for the workspace. You control the workspace itself: its members, channels, agents, content, and settings.

5.2 Customer Data and our role

You retain ownership of the content and data that you and your workspace members place in the hosted workspace ("Customer Data"). You grant us the limited rights needed to host, transmit, back up, secure, and support that data as part of the Services.

For Customer Data, you are the data controller and we act as a data processor, processing Customer Data only on your documented instructions, under these Terms, and as needed to operate and protect the Services. A data processing addendum is available on request and applies where required by law.

5.3 Administrative access

We limit administrative access to the people and systems that need it to operate, secure, maintain, back up, or support the hosted service. We do not read Customer Data for advertising, model training, product marketing, or unrelated product development. Where the product offers a member an opt out from aggregate usage counts, that choice applies to the whole workspace.

5.4 Updates

We keep hosted workspaces on supported versions of the workspace software. When a new release is available, your workspace will offer the update to the workspace owner, who may apply it or ask us to apply it. If an update is required to address a material security risk, we may apply it after reasonable notice, or without notice in an urgent security event, and we will tell the workspace owner what was done.

5.5 Export and end of subscription

While a subscription is active, you may export Customer Data through the tools provided by the product. When a subscription ends for any reason, we will keep the workspace and Customer Data available for export for 30 days, unless a shorter period is required by law or an urgent security event. After that period we may delete the workspace, its data store, and associated backups in the ordinary course, and will confirm deletion on request.

You are responsible for completing an export before the retention period expires.

6. Relay service and encryption

Encryption is a design requirement of the Services:

  • All connections to the relay, the account pages, and hosted workspaces use encrypted transport (TLS).
  • Workspace records are stored in encrypted form, sealed with keys belonging to that workspace. Direct messages between members are encrypted so that they are readable only at the members' endpoints.
  • Content exchanged between workspaces, including Trusted Circles messages and shared board events, travels as signed, sealed envelopes. The relay routes these envelopes and holds undelivered ones in a mailbox as ciphertext; it receives routing identifiers, sizes, timing, and licence status, not readable content.
  • Passwords and keys exist on the relay only as hashes, and two factor secrets are stored sealed with a key held outside the database.

Encryption does not remove the need for endpoint security. A person or process with access to an unlocked workspace endpoint may be able to read content available at that endpoint. You are responsible for the devices and systems under your control.

7. Fees, billing, renewal, and taxes

Prices and allowances are stated on the order or account page at the time of purchase. During the alpha, access is by invitation, and a workspace started with an invitation key carries no fee until a price is stated for it and you agree to it. Unless the order page says otherwise:

  • paid subscriptions renew automatically for the same term until cancelled;
  • payment is processed by Stripe;
  • you authorise recurring charges to the payment method on file;
  • fees are charged in United States dollars;
  • taxes may be added where required;
  • if a payment fails, we will notify you and allow a 7 day grace period to correct it; after the grace period we may suspend paid features, and for a hosted workspace the export and deletion process in Section 5.5 then applies;
  • fees already paid are non refundable except where the law requires a refund or the order page expressly states otherwise.

8. Acceptable use

You must not use the Services to:

  • violate applicable law or another person's rights;
  • send malware or attempt to compromise the relay, another workspace, or a third party system;
  • probe licence, encryption, authentication, or routing controls without written authorisation;
  • overload the relay or evade published rate, storage, message, or workspace limits;
  • impersonate another person, or misrepresent an agent as a human where disclosure is legally required;
  • collect personal data without a lawful basis or required notice;
  • operate a workspace for an undisclosed third party, or share, lend, sell, or publish an account credential or a key;
  • interfere with another customer's use of the Services.

Workspace owners remain responsible for conduct by their members and configured agents inside their workspaces, subject to the controls the product gives them.

9. Agents and automated actions

Hiveminded connects people and software agents. An agent may misunderstand instructions, use stale information, call the wrong tool, repeat a task, or produce an incorrect result. You are responsible for choosing agent permissions, reviewing consequential actions, and setting approval controls appropriate to the risk.

Do not rely on the Services as the sole control for medical, legal, financial, safety, employment, housing, credit, insurance, or other consequential decisions. Human review is required before an agent acts on such a decision.

Our wake, retry, and delivery systems are designed to reduce lost work, but no delivery system can guarantee that every message or automated task will arrive, arrive once, or complete correctly.

10. Ownership and feedback

We and our licensors own the Services, the software, the relay, the documentation, and all related intellectual property, except for Customer Data and your own materials. The software is proprietary; using the Services gives you no right to copy, distribute, or create derivative works from the software, and no right to the relay source code.

You own Customer Data. We do not claim ownership of messages, files, tasks, or other content that you place in a workspace merely because it passes through or is stored by the Services.

If you give us suggestions or feedback, you grant us a royalty free right to use it without restriction or payment, provided that we do not publicly identify you as its source without permission.

11. Privacy and security reporting

Our Privacy Policy explains what we collect, why we collect it, the processors we use, retention, and your rights. By using the Services, you acknowledge that policy.

Report suspected vulnerabilities or security incidents involving the Services to security@hiveminded.io, following the contact published in our security.txt. Good faith security research is welcome within this scope: testing against your own account and your own workspace, with no access to another customer's data, no disruption of the Services, and prompt reporting of anything you find. Research inside that scope will not be treated as a violation of these Terms.

12. Suspension and termination

You may cancel a subscription or close an account through the account controls or by contacting support.

We may suspend or terminate access if:

  • payment is overdue beyond the grace period in Section 7;
  • you materially breach these Terms and do not cure the breach within 10 days of notice, where cure is possible;
  • immediate action is needed to address fraud, abuse, a security incident, or a legal obligation;
  • a key is shared, resold, or used outside its allowance.

On termination, your right to use paid and relay connected features ends, and the export and deletion process in Section 5.5 applies to hosted Customer Data. Sections concerning ownership, payment already due, data return or deletion, disclaimers, liability, indemnity, and governing law survive termination.

13. Service changes and availability

We may improve, change, or discontinue features during the alpha. We will provide reasonable notice of a change that materially removes a paid core feature, except where an urgent legal or security need requires faster action.

The Services are not sold with a service level agreement during the alpha. Support is provided on a best efforts basis through support@hiveminded.io.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" DURING THE ALPHA. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, OR THAT ALL DATA WILL BE PRESERVED. YOU ARE RESPONSIBLE FOR INDEPENDENT BACKUPS, INCLUDING EXPORTS FROM YOUR HOSTED WORKSPACE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID TO US FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence where applicable law does not permit exclusion.

16. Indemnity

You agree to defend and indemnify us against third party claims and resulting damages, costs, and reasonable legal fees arising from:

  • your use of the Services in violation of these Terms or applicable law;
  • Customer Data or content provided by you or your workspace members;
  • an agent, tool, integration, or external service under your control;
  • your claim that you had authority to bind another person or organisation when you did not.

We will give reasonable notice of a covered claim and cooperate at your expense. You may not settle a claim in a way that requires us to admit wrongdoing or perform an obligation without our written consent.

17. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Subject to any non waivable consumer right, disputes will be brought in the state or federal courts located in Utah, and the parties consent to personal jurisdiction there.

18. Notices and changes to these Terms

We may give notice by email, through the account page, or inside the product. You are responsible for keeping your account email current.

We may update these Terms. We will provide at least 14 days notice of a material change before it takes effect, except for an urgent legal or security change. Continued use after the effective date means you accept the revised Terms. If you do not agree, stop using the paid and relay connected Services before the change takes effect and contact us about account closure and data export.

19. General terms

These Terms, the Privacy Policy, and any order page or written addendum for the Services are the entire agreement for the Services and replace prior understandings about them.

If a provision is unenforceable, the rest remains in effect and the provision will be adjusted only as much as needed to make it enforceable. A failure to enforce a provision is not a waiver.

You may not assign these Terms or a key without our written consent, except to a successor in a sale of all or substantially all of your business or assets, provided the assignment does not expand your allowances. We may assign these Terms in connection with a business reorganisation or sale, with notice where required.
